(hereinafter referred to as “Beijing Yonyou Technology”) holding 921,161,630 shares of the Company, accounting for 26.96% of the total share capital of the Company. After this share pledge of 108,700,000 shares, Beijing Yonyou Technology has a total pledged amount of 437,830,000 shares of the listed company, accounting for 47.53% of its shareholding and 12.81% of the total share capital of the Company.

● As of March 27, 2026, Beijing Yonyou Technology and its concerted actors, Shanghai Yonyou Technology Consulting Co., Ltd. and Beijing Yonyou Enterprise Management Research Institute Co., Ltd., hold 1,421,079,511 shares of the Company, accounting for 41.59% of the total share capital of the Company. After this pledge, the total pledged amount of Beijing Yonyou Technology and its concerted actors is 520,330,000 shares, accounting for 36.62% of their shareholding and 15.23% of the total share capital of the Company.

I. Pledge of Shares of the Listed Company

1. Basic Situation of This Share Pledge

On March 25, 2026, the controlling shareholder of the Company, Beijing Yonyou Technology, pledged 108,700,000 unrestricted circulating shares it holds to Tibet Trust Co., Ltd. (hereinafter referred to as “Tibet Trust”). The share pledge registration procedures were completed on March 26, 2026. The Company received a notice from Beijing Yonyou Technology on March 26, 2026, informing that the above shares have been pledged, with the specific pledge details as follows:

The risk of this pledge is within a controllable range, and there are no circumstances that may lead to a change in the actual control of the Company.
